Key Scope

We are seeking an enterprising, highly motivated professional who is keen to play an integral part in building the Group’s corporate legal platform. The work of Legal Counsel (LC) principally takes the form of providing commercial transactional support (such as negotiating, drafting and interpreting numerous types of contracts/agreements) and providing legal guidance on a variety of matters where knowledge of the hotel industry, real estate transactions, Next Story Group’s strategic objectives (JV’s, acquisitions, etc), various hotel-related disciplines, and certain legal subjects is essential.

This position will report directly to the Head of Legal (HOL) of Next Story Group.

 

Responsibilities

Working closely with the HOL, the LC will focus on representing Next Story Group with respect to (a) issues arising from existing/new management agreements or existing/new franchise agreements (such as interpretations, amendments, terminations or restructurings) and (b) hotel/property owner transactions (such as sales and financings of hotels). As directed and advised by the HOL, the LC will work with assigned clients on a variety of initiatives and projects.

The LC will be responsible for negotiating, writing, reviewing, summarizing, researching and executing a wide variety of agreements for companies and clients, including hotel management agreements, license agreements, lease agreements, partnership (JV) related, real estate investment related agreements and other general business contracts both domestically and internationally. Assist the HOL with but not limited to the following:

• Draft, review and negotiate local, regional wide variety of contracts and documents including commercial and corporate transactions, terms and conditions, develop contract models and templates as necessary

• Handle compliance and dispute matters concerning all business in different jurisdictions in Singapore and APAC

• Provide timely legal advice and updates to internal stake holders

• Manage multiple projects and deadlines

• Advise executives on contract status, legal risks and business terms of various deals

• Provide assistance with global joint ventures, strategic partnership deals, and mergers and acquisitions

• Research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes

• Keep abreast of legislative changes that may affect the company and its affiliates

• Perform pre-litigation work to minimize risks and maximize legal rights

• Review advertising and marketing materials to ensure compliance with legal requirements

• Develop solutions to complex legal questions

• Support HOL for all corporate secretariat work for the business

• Provide relevant training and coaching for appropriate employee groups

 

Skills and Qualifications

Successful candidates should possess the experience, knowledge, and skills as follows:

• Recognized LLB Law Degree and have been called to the bar in Singapore or another commonwealth jurisdiction

• Minimum 3 to 5 years post qualification experience at reputable law firm and/or as inhouse counsel

• A team player and possess highly motivated and solution-oriented mindset

• Proven contract drafting and negotiating skills

• Ability to expeditiously identify and analyze issues and provide legally sound recommendations consistent with good business practices and reason

• Ability to work under stressful conditions with owners, lenders, and partners of properties in financial distress

• Excellent communication and interpersonal skills, and ability to interact effectively and work diplomatically with internal and external stake holders in a multi-cultural environment in APAC

• Ability to foster relationships and individual accountability across the organization

• Excellent conflict management skills, and ability to influence without coercion

• Ability to identify opportunities for improvement and to facilitate the implementation of creative solutions

• Ability to work independently, take ownership of and effectively resolve problems

• Mature personality, strong professionalism and high degree of integrity

• Fluent in English and preferably able to speak and read basic Chinese language
